1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of services provided by ROOTAPI LLC ("RootAPI," "we," "us," or "our"), located at 75 E 3RD ST STE 7, Sheridan, WY 82801. By creating an account or using our API, you agree to these Terms in their entirety.
2. Service Description
RootAPI provides cloud communication APIs including but not limited to: SIP trunking, SMS gateway, 2-way SMS, OTP/verification, voice API, number management, campaign management, and webhook routing. Services are provided through integrations with third-party carriers and communication providers.
3. Account Registration and Security
- You must be at least 18 years old and legally authorized to enter into contracts
- You are responsible for maintaining the security of your account credentials and API keys
- You must promptly notify us of any unauthorized account access
- One account per individual or business entity unless expressly authorized
- You must provide accurate registration information
4. SMS Compliance Requirements
4.1 Consent Requirements
- You must obtain prior express written consent before sending any marketing or promotional SMS
- Consent must be voluntary, clear, and documented with a timestamp and opt-in mechanism
- You may not send SMS to individuals who have not consented
- Consent records must be retained for a minimum of 4 years
4.2 Opt-Out Handling
- You must honor STOP requests within 24 hours. RootAPI handles this automatically when using our SMS platform
- HELP requests must be responded to with contact information or support instructions
- Once a recipient opts out, you may not contact them via SMS without new explicit consent
4.3 Message Content
- All messages must clearly identify the sender
- Marketing messages must include opt-out instructions
- Message content must comply with all applicable laws and carrier guidelines
5. 10DLC (10-Digit Long Code) Compliance
- All A2P (Application-to-Person) messaging via 10-digit long codes must be registered under The Campaign Registry (TCR)
- Brand registration must include accurate business information verified by TCR
- Each messaging campaign must have a registered use case with appropriate content samples
- You are responsible for maintaining current 10DLC registrations and renewing as required
- Non-compliant traffic may be filtered or blocked by carriers without notice
- 10DLC registration fees are non-refundable
6. Toll-Free Number (TFN) Verification Compliance
- Toll-free numbers used for A2P messaging must be verified through our TFN Verification process
- Verification requires submission of opt-in flow documentation, sample messages, and use case descriptions
- Unverified toll-free numbers are subject to carrier filtering and throughput limits
- You must maintain accurate and current verification information
7. No Spam Policy
The following messaging practices are strictly prohibited:
- Sending unsolicited commercial messages (spam)
- Using purchased, rented, or harvested contact lists
- Sending messages to individuals who have opted out
- Disguising the origin or sender of messages
- Flooding or overloading recipients with excessive messages
- Phishing, smishing, or other fraudulent messaging
8. Prohibited Content
You may not use RootAPI services to send or facilitate:
- SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) without age verification and carrier approval
- Illegal gambling promotions
- Illegal drug-related content
- Hate speech, harassment, or threatening content
- Content that violates any federal, state, or local law
- Deceptive or misleading content
- Content that infringes intellectual property rights
- Malware, viruses, or malicious code
9. User Responsibility for Consent
You, as the RootAPI customer, are solely responsible for:
- Obtaining and documenting all required consents from your end users
- Ensuring your messaging practices comply with TCPA, CAN-SPAM, CTIA guidelines, and all applicable laws
- Maintaining opt-in records and making them available to RootAPI upon request
- Handling all opt-out requests within required timeframes
- Any fines, penalties, or legal action resulting from non-compliant messaging
10. API Usage Terms
- API keys are for your account use only and must not be shared or made publicly accessible
- Rate limits apply to all API endpoints; exceeding limits may result in temporary throttling
- You may not reverse-engineer, modify, or create derivative works of our API
- Automated abuse detection is active; suspicious activity may result in immediate account suspension
- API access may change with reasonable notice; we are not liable for changes required by providers
11. Account Suspension and Termination
RootAPI reserves the right to suspend or terminate your account immediately and without notice if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent, illegal, or abusive activity
- Send spam or violate SMS compliance requirements
- Fail to pay invoices when due
- Pose a risk to our network, infrastructure, or other customers
Upon termination, your right to use the services ceases immediately. Balances may be forfeited in cases of policy violations.
12. Refund and Billing Policy
- Monthly subscription fees are billed in advance and are non-refundable
- Usage-based charges (per SMS, per minute, per API call) are billed monthly in arrears
- Prepaid account credits are non-refundable unless required by law
- Disputes must be raised within 30 days of the invoice date
- Accounts with outstanding balances over 15 days may be suspended
- Number porting fees, 10DLC registration fees, and setup fees are non-refundable
13. Service Level Agreement (SLA)
We target 99.9% monthly uptime for our API platform. Downtime caused by carrier outages, force majeure events, scheduled maintenance (with notice), or factors outside our control are excluded from SLA calculations.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOTAPI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or dashboard notification with at least 14 days' notice. Continued use of the services after the effective date constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
